This Agreement is entered into between FlipStack (Luke Alchin) and Red Mane Property (and its principal), together the "Parties", to protect confidential information exchanged while the Parties explore a potential commercial partnership.
The Parties wish to share confidential business, product, commercial and strategic information for the sole purpose of evaluating and progressing a potential working relationship (the "Purpose").
"Confidential Information" means any non-public information disclosed by one Party (the "Discloser") to the other (the "Recipient"), in any form, including product plans and architecture, data and data-partner arrangements, commercial models, pricing, strategy, financials, customer and member information, documents shared in connection with the Purpose, and the existence and content of these discussions. It excludes information that is or becomes public through no fault of the Recipient, was lawfully known before disclosure, or is independently developed without reference to the Confidential Information.
The Recipient will: (a) use the Confidential Information solely for the Purpose; (b) keep it confidential and protect it with at least reasonable care; (c) not disclose it to any third party without the Discloser's prior written consent; and (d) limit access to those of its representatives who need it for the Purpose and are bound by equivalent obligations.
Nothing in this Agreement transfers any ownership, licence or right in the Confidential Information. The Recipient will not copy, reproduce, reverse-engineer, or commission the building of anything derived from the Discloser's Confidential Information without prior written consent.
This Agreement applies to information disclosed for two (2) years from the date of signing, and the confidentiality obligations survive for a further three (3) years thereafter.
This Agreement does not oblige either Party to enter into any further agreement or transaction. It governs confidentiality only.
This Agreement is governed by the laws of Western Australia and the Commonwealth of Australia, and the Parties submit to the jurisdiction of its courts.
